These Terms & Conditions govern your use of Prime Pay BD, including mraiprime.shop, the payment/API environment at pay.mraiprime.shop, and the Prime Pay BD Android application. By creating an account, using an API credential, installing the application, or using a Prime Pay BD payment feature, you agree to these Terms.

1. The Service

Prime Pay BD provides payment gateway, invoice, merchant, API, transaction-status, device-event, and related operational tools. Features, plans, limits, fees, and availability may vary by account type and are shown in the relevant dashboard, plan, checkout, or service communication.

Prime Pay BD is not a bank, wallet, card issuer, or replacement for the third-party payment provider used to complete a payment. A status shown by Prime Pay BD may depend on the response and final confirmation of the relevant payment provider.

2. Eligibility and Account Information

You must be legally capable of entering into these Terms and must provide accurate, current information. If you use Prime Pay BD for a business, you confirm that you have authority to act for that business. Keep your password, API key, refresh token, device access, and other credentials confidential. You are responsible for activity performed through your account unless you promptly notify us of unauthorized use.

3. Payments, Invoices, and Verification

You are responsible for entering correct customer, invoice, amount, callback, and integration information. A transaction may be pending, failed, cancelled, reversed, or delayed. Do not treat a browser redirect, SMS, webhook request, or client-side response alone as proof of settlement; use the official server-side verification flow and retain your own business records.

Refunds, cancellations, chargebacks, settlement timing, provider fees, and transaction restrictions may be controlled by the relevant payment provider, your plan, or applicable law. You must not represent a pending or rejected transaction as completed.

4. API and Integration Rules

API credentials must be used only for your approved Prime Pay BD account and authorized integration. You must protect credentials, validate server responses, use HTTPS, verify webhook authenticity where provided, implement idempotency for retried requests, and avoid exposing secret keys in browser code, public repositories, screenshots, logs, or mobile binaries.

You may not probe, overload, bypass rate limits, impersonate another tenant, submit duplicate or fabricated events, interfere with device binding, reverse engineer security controls, or attempt to connect the Prime Pay BD app or API to an unauthorized website or tenant.

5. Android Application

The Prime Pay BD Android application is intended to work with the Prime Pay BD environment and its approved API host. The application may require operating-system permissions for payment-event processing and notifications. You must install the application from a trusted distribution source, keep the device secure, and not modify, repackage, clone, tamper with, or redistribute the application.

The app may queue events when connectivity is interrupted and submit them later. Background execution, SMS availability, notification delivery, battery optimization, network conditions, Android version behavior, and manufacturer restrictions may affect timing. The app does not guarantee uninterrupted background operation or notification delivery.

6. Acceptable Use

You must use Prime Pay BD only for lawful purposes and in accordance with applicable Bangladesh law and the rules of the payment providers you use. Prohibited conduct includes fraud, money laundering, unauthorized collection of payment information, phishing, malware, spam, deceptive merchant activity, unlawful goods or services, credential sharing, abuse of customer data, and any activity that harms the service or another user.

7. Fees and Taxes

Applicable subscription fees, transaction charges, limits, taxes, and other commercial terms are those displayed in your account, plan, invoice, or written agreement. You are responsible for charges incurred through your account and for applicable taxes unless the law requires otherwise.

8. Intellectual Property

Prime Pay BD and its licensors retain rights in the website, application, software, branding, documentation, design, and service materials. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended business purpose while your account is authorized. You may not copy, sell, lease, sublicense, or create a competing service from the protected materials.

9. Suspension and Termination

We may limit, suspend, or terminate access when necessary to protect users, investigate suspected abuse, comply with law, address security risk, handle non-payment, or enforce these Terms. You may stop using the service and request account closure, but transaction, audit, fraud-prevention, and legal records may be retained as described in the Privacy Policy.

10. Availability and Disclaimers

The service is provided on an as-available basis. We work to maintain reliable operation but do not promise that the website, API, application, payment provider, notification service, or background processing will always be uninterrupted, error-free, or available on every device. Third-party networks and payment providers remain outside our control.

11. Liability

To the extent permitted by applicable law, Prime Pay BD is not responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from your use of the service, third-party provider behavior, inaccurate information, credential compromise caused by your failure to protect credentials, device restrictions, or events outside our reasonable control. Nothing in these Terms excludes liability that cannot legally be excluded.

12. Indemnity

You agree to defend and indemnify Prime Pay BD, its operators, and service providers against claims, losses, liabilities, and reasonable costs arising from your unlawful use, breach of these Terms, violation of a third party's rights, or activity performed through your account.

13. Changes

We may update these Terms when the service, law, or security practices change. The revised version will be posted on this page with a new “Last updated” date. Continued use after an update constitutes acceptance to the extent permitted by law.

14. Governing Law and Contact
